The proforma invoice is the first document your buyer sees, and the one their bank uses to open a letter of credit or release an advance. Here is what it must contain, how it differs from a commercial invoice, and the errors that come back to haunt the shipment.

What a proforma invoice is used for

Keep the description specific enough that the same text can be used on the commercial invoice, packing list and shipping bill. A product called "cotton fabric" on the proforma and "100% cotton woven fabric, 140 cm, dyed" on the commercial invoice invites questions from the buyer's bank and from customs.

The commercial invoice should normally follow the proforma line for line. When the final shipment differs — a partial shipment, a changed quantity within tolerance — the difference should be explainable from the proforma and any amendment, not a surprise.

Mistakes that cause trouble later

  • Incoterm without a named place. "FOB" alone is incomplete; write "FOB Mundra, India" (Incoterms® 2020).
  • No tolerance on quantity. If you cannot ship exactly 10,000 pieces, say ±5% on the proforma so the LC allows it.
  • Wrong beneficiary name. The beneficiary on the LC must match your bank account and invoices exactly.
  • Unrealistic shipment date. The LC's latest shipment date usually comes from the proforma; leave room for production and booking.
  • Editing a sent proforma. Issue PI-123 Rev 1 instead, so everyone knows which version the LC was based on.
  • Different units on different documents. If the proforma says pieces, the invoice and packing list should not switch to dozens.

Making proforma invoices faster and consistent

Most exporters build proformas in Excel or Word, then retype the same data into the commercial invoice and packing list. That is where mismatches start.
